Italian gunmaker Beretta launches proxy fight for – Business News

Italian gun producer Beretta is launching a proxy fight to take control of Sturm, Ruger and Co., America’s largest firearms maker, sources conversant in the matter have informed The Post.

Insiders stated the 500-year-old European firm, which has constructed a 10% stake in Hartford, Conn.-based Ruger, desires to appoint 4 executives to affix the nine-member board — a transfer designed to gain more control over the primary US rival to Smith & Wesson.

Sources stated the nominees included William Franklin Detwiler, managing companion of Fernbrook Capital Management; Mark DeYoung, the founding CEO of Vista Outdoor; Frederick Disanto, CEO of Ancora Holdings; and Michael Christodolou, the founder of Inwood Capital Management.

A proxy fight is an unfriendly contest for control of a company through which a group of shareholders tries to persuade different traders to vote out the present board of administrators or management.

Any vote would probably happen at Ruger’s annual normal assembly scheduled for May 29.

The conflict has erupted amid a gross sales hunch and plunging income at Ruger, with the price of its shares cratering by over 40% previously 4 years.

As of Wednesday’s close, Ruger’s market cap hovered at $581 million.

When Beretta first revealed an initial 9% stake in an October submitting, it stated that it needed to discover “potential areas of operational and strategic collaborations” with Ruger.

The US firm then adopted a one-year shareholder rights plan amid considerations about a growing possession stake collected by the Italian giant.

Such plans — typically known as “poison pills” — aimed to make hostile takeovers more troublesome by diluting the possession of an buying investor that exceeds a specified threshold.

Beretta — an iconic gun producer with ties to Italy’s Alpine area of Lombardy that was based in 1526 — raked in $1.7 billion in income in 2024 and has been snapping up rivals like Switzerland’s RUAG Ammotec in 2022.

Pietro Gussalli Beretta, a Fifteenth-generation inheritor to founder Bartolomeo Beretta, steers the company.

It has been in search of a higher presence within the US, which has the world’s largest legal firearms market, owing to the Second Amendment.
